Terms of Use

1. Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you and SeaSun Ventures, Inc., a company located in Rancho Cucamonga, California("Company," "we," "us," or "our"), governing your access to and use of the AXOSuite platform, website, and related services (collectively, the "Service").

By accessing or using the Service you confirm that you are at least 18 years old, have read and understood these Terms, and agree to be bound by them. If you do not agree, do not use the Service.

2. Description of Service

AXOSuite is an Agent Experience Optimization (AXO) audit platform that crawls publicly accessible websites on behalf of users and generates analytical reports assessing the readiness of those websites for AI agent interactions. Reports include structured data analysis, policy transparency ratings, transaction determinism scores, and an aggregate AXO score.

3. Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

  • Submit domains you do not own or are not authorized to audit.
  • Use the Service to facilitate unauthorized access, scraping, or attacks against any website.
  • Attempt to circumvent rate limits, technical safeguards, or access controls.
  • Misrepresent audit results or distribute them in a misleading manner.
  • Use the Service in any way that violates applicable local, state, national, or international law.
  • Reproduce, resell, or sublicense the Service or its outputs without written permission.

4. Intellectual Property

All content, trademarks, software, algorithms, and methodologies underlying the Service, including the AXO scoring framework, are the exclusive property of SeaSun Ventures, Inc. or its licensors. Nothing in these Terms grants you any right to use our intellectual property except as expressly permitted herein.

Audit reports generated for your domain are licensed to you for your own internal business use. You may share your own reports but may not represent them as independent third-party certifications.

5. Data You Submit

When you submit a domain for auditing, the Service accesses only publicly available pages of that domain using a standard HTTP crawler. You represent and warrant that you have the authority to authorize such crawling of the submitted domain.

We do not collect, store, or process any personal data from the pages we crawl beyond what is necessary to produce the audit report.

6. Third-Party Services

The Service may integrate with third-party services (such as AI model providers) to enhance certain analysis features. Your use of the Service is subject to those third parties' terms of service and privacy policies. We are not responsible for the practices or content of any third-party service.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT RESULTS WILL BE ACCURATE OR COMPLETE.

AXO scores and audit reports are analytical tools intended to assist decision-making. They do not constitute legal, technical, or compliance advice.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SEASUN VENTURES, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS (USD $100), WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless SeaSun Ventures, Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of a third party.

10. Modifications to the Service and Terms

We reserve the right to modify or discontinue the Service at any time without notice. We may also update these Terms from time to time. Continued use of the Service after any such changes constitutes your acceptance of the new Terms. We will update the effective date at the top of this page when changes are made.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in San Bernardino County, California, and you consent to the personal jurisdiction of those courts.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms will otherwise remain in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SeaSun Ventures, Inc. regarding the Service and supersede all prior agreements, representations, and understandings.
